COMPANY-LEVEL STRATEGIC
PARTNERSHIP MoU BUNDLE

MASTER ALLIANCES FOR LLPS, COMPANIES AND MULTIDISCIPLINARY BUSINESSES

This bundle is designed for organization-level relationships that continue across multiple present and future projects. It is different from a project-specific partnership MoU: the master agreement remains in force, while individual opportunities are simply accepted/registered under it.

1. Which Template to Use

01. LLP + LLP — Master Strategic Partnership & Collaboration MoU. Best for: Two independent LLPs that want a continuing alliance without merging their legal identities.

02. LLP + Private Limited Company — Master Strategic Alliance & All-Projects Collaboration MoU. Best for: Professional LLP collaborating long-term with a private company, including design, engineering, technology, consultancy or development relationships.

03. Private Limited Company + Private Limited Company — Master Strategic Partnership & Business Collaboration MoU. Best for: Two private companies that want a repeatable alliance across multiple projects without forming a new entity.

04. LLP + Public Limited Company — Master Corporate Collaboration & Strategic Alliance MoU. Best for: Professional LLP working repeatedly with a larger public company, infrastructure company, developer, technology company or corporate service provider.

05. Private Limited Company + Public Limited Company — Master Corporate Partnership & Strategic Collaboration MoU. Best for: Specialist private company partnering repeatedly with a larger public company across a portfolio of projects.

06. Indian Design Entity + Foreign Design Company — International Master Strategic Design Alliance MoU. Best for: Indian architecture/design/consulting entity partnering long-term with an overseas design company.

07. Architecture / Design Entity + Engineering Entity — Integrated Design & Engineering Master Alliance MoU. Best for: Architecture/design firm and integrated structural/civil/MEP engineering firm that frequently work together.

08. Architecture / Design Entity + Interior Design Entity — Integrated Architecture & Interiors Master Partnership MoU. Best for: Architecture entity and interior design entity that want a stable all-project collaboration arrangement.

09. Architecture / Design Entity + Landscape / Urban Design Entity — Built Environment Master Strategic Alliance MoU. Best for: Architecture practice and landscape/urban design practice that repeatedly collaborate on developments, hospitality, campuses or masterplans.

10. Architecture / Design Entity + PMC / Construction Management Entity — Design & Project Delivery Master Alliance MoU. Best for: Architecture/design entity collaborating repeatedly with a PMC or construction-management company.

11. Architecture / Design Entity + Developer / Real Estate Company — Development & Design Strategic Partnership MoU. Best for: Design entity and developer that intend to collaborate repeatedly on feasibility, concept, approvals and development projects.

12. Architecture / Design Entity + Sustainability / BIM / Design-Technology Entity — Design Innovation & Digital Delivery Master Alliance MoU. Best for: Design practice and technology/sustainability firm that want an ongoing partnership across multiple projects.

13. Architecture / Design Entity + Design-Build / Contracting Company — Design & Construction Strategic Alliance MoU. Best for: Independent design entity and contractor/design-build company that repeatedly pursue integrated delivery projects.

14. Multidisciplinary Corporate Alliance — Master Strategic Consortium & All-Projects Collaboration MoU. Best for: Architecture, engineering, interiors, landscape, sustainability, BIM, PMC and other firms operating as a recurring alliance or consortium.

2. Entity-Formation Intent Templates

15. Intent to Establish a New LLP — use only where the parties intend to create a new legal vehicle; definitive formation/governance documents are still required.

16. Intent to Establish a Joint Venture Company / SPV — use only where the parties intend to create a new legal vehicle; definitive formation/governance documents are still required.

3. Core Difference: Master Alliance vs New Entity

Master alliance: existing entities remain independent; one continuing MoU governs accepted opportunities/projects.

New LLP/JV company intent: parties are exploring a new legal entity; the MoU is pre-incorporation and must be followed by statutory/definitive agreements.

Project Participation Notice: administrative record for a new project under the master alliance; it does not recreate the partnership relationship.

4. Recommended Completion Sequence

Verify legal names, LLPIN/CIN/registration, authority, and ownership information.

Select territory, sectors, exclusivity, and initial term.

Complete governance / reserved-matters matrix.

Choose default commercial and lead-registration rules.

Complete governing law and dispute provisions with professional review.

Sign at authorized entity level.

Register each accepted opportunity using the included Opportunity / Covered Project Registration Form.

Conduct at least an annual governance review and update the master agreement when the alliance materially changes.

5. Important Legal Positioning

The words partnership, alliance and collaboration are commercial descriptors unless a template expressly concerns formation of a new entity. A master collaboration between an LLP and a company does not by itself make either entity a partner, shareholder or owner of the other. Ownership, statutory governance and formation rights require legally appropriate definitive documents.
